AMD and OpenAI Strategic Partnership for AI Infrastructure

OpenAI and AMD have announced a strategic partnership to deploy 6 gigawatts of AMD GPUs to power OpenAI's next-generation AI infrastructure. This agreement establishes AMD as a core strategic compute partner, diversifying OpenAI's hardware foundation and providing AMD with a massive scale of deployment for its Instinct series GPUs.

Infrastructure Deployment and Timeline

OpenAI will deploy 6 gigawatts of AMD GPUs across multiple generations of hardware. The initial phase of this rollout begins in the second half of 2026 with a 1 gigawatt deployment of AMD Instinct MI450 Series GPUs and rack-scale AI solutions. This multi-year agreement extends beyond the MI450 to include future generations of AMD technology.

Strategic and Technical Collaboration

This partnership builds upon previous collaborations involving the MI300X and MI350X series. AMD and OpenAI are sharing technical expertise to optimize their respective product roadmaps, focusing on deep collaboration across every layer of the stack to enable large-scale AI deployments.

Financial and Equity Alignment

To align the strategic interests of both companies, AMD has issued OpenAI a warrant for up to 160 million shares of AMD common stock. The vesting of these shares is tied to specific milestones:

  • Deployment Scale: The first tranche vests upon the initial 1 gigawatt deployment, with subsequent tranches vesting as purchases scale up to 6 gigawatts.
  • Performance Targets: Vesting is also contingent upon AMD achieving specific share-price targets and OpenAI meeting the technical and commercial milestones necessary for large-scale deployments.

According to AMD CFO Jean Hu, the partnership is expected to deliver tens of billions of dollars in revenue for AMD and be highly accretive to AMD's non-GAAP earnings-per-share.
