The Next Phase of the Microsoft OpenAI Partnership

OpenAI and Microsoft have amended their partnership agreement to simplify their operational relationship and provide long-term clarity. This update allows OpenAI to distribute its products across any cloud provider while maintaining Microsoft as its primary cloud partner and shareholder.

Updated Cloud Distribution and Infrastructure

OpenAI products will continue to ship first on Microsoft Azure, provided Azure can and chooses to support the necessary capabilities. However, under the amended agreement, OpenAI now has the flexibility to serve all its products to customers across any cloud provider.

Intellectual Property and Licensing Terms

Microsoft holds a license to OpenAI's intellectual property for models and products through 2032. This license has been transitioned to a non-exclusive arrangement, meaning OpenAI may grant similar licenses to other parties.

Revised Financial Arrangements

The financial structure of the partnership has been modified to remove certain revenue-sharing obligations:

• Microsoft Payments: Microsoft will no longer pay a revenue share to OpenAI.
• OpenAI Payments: Revenue share payments from OpenAI to Microsoft will continue through 2030. These payments remain at the same percentage but are now subject to a total cap and are independent of OpenAI's technology progress.

Ongoing Strategic Collaboration

Despite the structural changes to the agreement, OpenAI and Microsoft continue to collaborate on large-scale infrastructure and technical initiatives. Current joint efforts include:

• Datacenter Scaling: Scaling gigawatts of new datacenter capacity.
• Hardware Development: Collaborating on next-generation silicon.
• Security: Applying AI to advance cybersecurity.
