Anthropic Long-Term Benefit Trust Governance Structure
Anthropic has established the Long-Term Benefit Trust (LTBT), an independent governance body designed to ensure that the development of transformative AI remains aligned with the long-term benefit of humanity. This structure addresses the potential for massive societal externalities—such as national security risks and economic disruption—that traditional corporate governance often fails to account for.
The Role of the Long-Term Benefit Trust
The Long-Term Benefit Trust is an independent body consisting of five financially disinterested Trustees. Its primary purpose is to provide a check on corporate leadership and ensure that Anthropic balances the financial interests of its stockholders with its public benefit mission.
Key features of the LTBT include:
- Board Oversight: The Trust holds the authority to elect and remove a portion of Anthropic's Board of Directors. This authority will phase in over time, with the Trust slated to elect a majority of the board within four years.
- Class T Stock: The Trust exclusively holds a new class of stock (Class T), which grants it the power to appoint board members and provides "protective provisions" requiring the Trust to be notified of actions that could significantly alter the corporation or its business.
- Independence: Trustees are selected based on expertise in AI safety, national security, public policy, and social enterprise, and are intentionally insulated from financial interests in Anthropic.
Addressing Market Externalities in AI
Anthropic argues that traditional corporate governance is designed to prioritize stockholder financial interests because directors are elected by, and legally accountable to, stockholders. This creates a risk when a company's activities produce significant "externalities"—costs or benefits imposed on third parties who are not part of the transaction.
While Anthropic notes that commercial success and public benefit are often synergistic—as commercial resources fund safety research—the LTBT is specifically designed for "extreme events." The Trust ensures that leadership is incentivized to prioritize catastrophic risk evaluation and nation-state level security over objectives like being first to market.
Integration with Public Benefit Corporation (PBC) Status
Anthropic is incorporated as a Delaware Public Benefit Corporation (PBC). Under Delaware law, a PBC's directors are legally permitted to balance stockholder financial interests with a specified public benefit purpose. Anthropic's stated purpose is the "responsible development and maintenance of advanced AI for the long-term benefit of humanity."
While the PBC status provides the legal latitude to consider public interests, Anthropic determined it was insufficient because it does not make directors directly accountable to non-stockholder stakeholders. The LTBT serves as the additional layer of accountability and incentive alignment needed to manage the risks of transformative AI.
Governance Experiment and Flexibility
Anthropic describes the LTBT as an experiment and a "considered hypothesis." To balance the need for durability with the need for iteration, the structure includes:
- Phase-in Period: The Trust's power grows gradually, allowing the company to function with streamlined governance in its early stages while increasing checks and balances as the company's societal impact grows.
- Amendment Process: Most adjustments are made by agreement between Trustees and the Board or stockholders. However, "failsafe" provisions allow for changes without Trustee consent if a supermajority of stockholders agree. The required supermajority threshold increases as the Trust's power phases in.

The initial five Trustees were selected after a year-long search process and serve one-year terms. They include:
