OpenAI has completed a corporate recapitalization to simplify its corporate structure, establishing the OpenAI Foundation as a nonprofit that controls the for-profit OpenAI Group PBC. This restructuring ensures that the nonprofit remains in control of the commercial entity to provide a direct path to major resources for advancing the mission of ensuring artificial general intelligence (AGI) benefits all of humanity.

Corporate Structure and Governance

OpenAI's new structure consists of the OpenAI Foundation (the nonprofit) and OpenAI Group PBC (the for-profit). The OpenAI Foundation holds equity in the for-profit entity, which is currently valued at approximately $130 billion. As OpenAI Group PBC reaches specific valuation milestones, the Foundation will receive additional ownership.

This arrangement is designed so that the commercial success of the for-profit business advances the mission of the nonprofit. The equity stake held by the OpenAI Foundation will be used to fund philanthropic work, with the value of this stake increasing as the company succeeds.

The OpenAI Foundation will initially focus a $25 billion commitment across two primary areas of focus:

The Foundation will fund work to accelerate health breakthroughs, focusing on faster diagnostics, better treatments, and cures. Initial activities include funding for scientists and the creation of responsibly built, open-sourced frontier health datasets.

Technical Solutions for AI Resilience

The Foundation will devote resources to support practical technical solutions for AI resilience. OpenAI describes this resilience layer as a parallel to the cybersecurity ecosystem required for the internet, protecting critical infrastructure such as power grids, hospitals, banks, governments, and companies.

Regulatory Engagement and Mission Alignment

The recapitalization process was completed following nearly a year of dialogue with the Attorneys General of California and Delaware. OpenAI states that changes were made as a result of these discussions to improve the organization's governance.

OpenAI Group PBC is now a public benefit corporation, ensuring that the company's commercial success and its mission to ensure AGI benefits all of humanity advance in tandem.
